Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Flexiana LLC ("Flexiana," "we," "us," or "our"), a limited liability company registered in the State of Wyoming, United States, governing your access to and use of the Gitrevio platform ("the Service"), accessible at gitrevio.com and app.gitrev.io.

By creating an account, accessing the Service, or otherwise indicating your acceptance, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

2. Service Description

Gitrevio is a cloud-based engineering intelligence platform that integrates with your engineering tools — including git hosting platforms, issue trackers, and time tracking systems — to provide analytics, AI-driven insights, and intelligence about your engineering organization. The Service includes a web application, AI chat interface, MCP server, REST API, LocalGit on-premise agent, and integrations with third-party communication tools.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you must have the authority to bind that organization to these Terms.

You agree to notify us immediately at info@gitrev.io if you become aware of any unauthorized use of your account.

4. Subscription and Billing

4.1 Pricing

The Service is offered at $40 per individual contributor per month. An "individual contributor" is defined as any user who commits code, creates pull requests, or is assigned tasks in your connected tools. Users who only view reports, use the chat interface, or receive alerts are not counted as individual contributors.

4.2 Free Tier

Organizations with up to 19 individual contributors may use the Service at no charge with full access to all features. No credit card is required. Organizations exceeding 19 contributors must subscribe to a paid plan to continue using the Service.

4.3 Billing

Subscriptions are billed monthly in advance. Payment is due on the billing date and is processed through our third-party payment processor. All fees are stated in US dollars and are exclusive of applicable taxes, which will be added where required by law.

4.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, your access continues until the end of the current billing period. We do not offer prorated refunds for partial billing periods. After cancellation, your data will be retained for 30 days before deletion, during which time you may reactivate your account.

5. Acceptable Use

You agree not to:

• — Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• — Scrape, crawl, or use automated tools to extract data from the Service beyond the provided API
• — Use the Service to monitor individuals without their knowledge where required by applicable law
• — Share your account credentials or allow unauthorized access to the Service
• — Use the Service in any manner that could damage, disable, or impair the Service or interfere with other users
• — Use the Service to violate any applicable law, regulation, or third-party rights
• — Resell, sublicense, or distribute access to the Service without our written consent

6. Intellectual Property

The Service, including all software, algorithms, models, documentation, designs, and content created by Flexiana, is the exclusive property of Flexiana LLC and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription, subject to these Terms.

7. Customer Data

You retain all rights, title, and interest in your data, including all engineering metadata, configurations, and content you provide to or generate through the Service ("Customer Data"). We do not claim ownership of Customer Data.

You grant Flexiana a limited license to access, process, and analyze Customer Data solely for the purpose of providing and improving the Service. This license terminates upon deletion of your Customer Data.

We do not use Customer Data to train general-purpose machine learning models. Any models or insights derived from your data are used exclusively to serve your account.

8. Source Code

Gitrevio does not access, transmit, or store your source code on our servers. The LocalGit agent performs code analysis on your infrastructure and transmits only aggregated metadata. You remain solely responsible for the security and availability of your source code and repositories.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. We shall not be liable for any downtime, data loss, or service interruption caused by circumstances beyond our reasonable control, including but not limited to third-party service outages, internet disruptions, or force majeure events.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLEXIANA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

FLEXIANA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO FLEXIANA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Flexiana LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your violation of any third-party rights; or (d) any Customer Data you provide to the Service.

12. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and closing your account. We may terminate or suspend your access immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law.

Upon termination, your right to access the Service ceases immediately. We will retain your Customer Data for 30 days following termination, during which time you may request an export. After 30 days, all Customer Data will be permanently deleted. Sections 6, 7, 10, 11, 13, and 14 survive termination of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws provisions.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

14. Changes to Terms

We may modify these Terms from time to time. If we make material changes, we will provide at least 30 days' notice by email (sent to the address associated with your account) before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the modified Terms, you must cancel your subscription before the effective date.

15. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flexiana regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
